Terms & Conditions for our services

These Terms and Conditions ("Terms") govern the provision of website development and related services by Blackdown IT Limited, trading as Websites4Construction ("we," "us," or "our"), to you ("Client" or "you"). By engaging our services, you agree to be bound by these Terms. Please read them carefully.

 

1. Services

Websites4Construction provides website development, design, maintenance, and related services for construction businesses, including responsive websites, SEO optimization, and hosting. The scope of services, deliverables, and timelines will be agreed upon in writing (e.g., via a proposal or contract) before work begins.

 

2. Payment Terms
 

• Website Development Services: Upon agreement of the sale of a service, we will issue an invoice. Work will commence once 50% of the invoice value is paid by bank transfer to Blackdown IT Limited’s designated account. The remaining balance is due upon completion of the website or within 30 days of the invoice date, whichever comes first.

• Subscription Services: Maintenance packages or other subscription services are invoiced quarterly in advance. Payment is due within seven (7) days of the invoice date.

• Late Payments: Failure to pay invoices on time may result in disruption of hosting services. Services will be reinstated once the full outstanding balance is settled. We reserve the right to charge interest on overdue amounts at a rate of 2% per month.

 

3. Client Responsibilities
 

• You agree to provide all necessary content (e.g., text, images, logos) and information (e.g., domain name preferences) in a timely manner to facilitate the development process.

• You warrant that all content provided to us is owned by you or you have permission to use it. We will not use copyrighted material in the websites we produce without proper authorization.

 

4. Reporting Issues
 

Any issues with the website must be reported via email to eugenio@blackdownit.co.uk (mailto:eugenio@blackdownit.co.uk). We will address reported issues promptly, in accordance with the agreed service scope or maintenance package.

5. Liability

Blackdown IT Limited’s liability for any claim arising from our services shall not exceed the total value of services provided to you within the past twelve (12) months. We are not liable for indirect, consequential, or incidental damages, including loss of profits or business opportunities.

6. Intellectual Property
 

• Upon full payment, you will own the rights to the completed website, excluding any third-party software, plugins, or tools licensed separately.

• We retain the right to showcase the website in our portfolio or marketing materials unless otherwise agreed in writing.
   

7. Copyrighted Material

Websites4Construction will not use copyrighted material in the websites we produce unless you provide explicit permission or licensing documentation. You are responsible for ensuring all provided content complies with applicable copyright laws.

8. Termination
 

• Either party may terminate the agreement with 30 days’ written notice if the other party breaches these Terms and fails to remedy the breach within 14 days.

• Upon termination, you must pay for all services rendered up to the termination date. Any prepaid fees for incomplete work will be refunded, minus costs incurred.
   

9. Hosting and Domain Services
 

• If we provide hosting services, we will ensure reasonable uptime but are not responsible for disruptions caused by third-party providers or unpaid invoices.

• You are responsible for securing and maintaining your domain name unless otherwise agreed.
   

10. Confidentiality

We will treat all information provided by you as confidential and use it solely for the purpose of delivering the agreed services. You agree to keep any proprietary information about our processes confidential.

11. Amendments

We reserve the right to update these Terms at any time. The latest version will be posted on websites4construction.co.uk, and continued use of our services constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
